1. Acceptance of Terms

  • By creating an account or using APM Setting (the “Service”), you agree to these Terms (click-wrap).
  • If you use the Service for a company, you are authorized to bind that company.

2. Service Description

  • AI setter for Instagram Business via the official Meta API: reads DMs (incl. message requests) and sends automated text replies.
  • Dashboard with conversations and basic qualification metrics.

3. Accounts & Eligibility

  • Instagram Business account required; keep credentials confidential.
  • You are responsible for your use and for your messages/content.

4. Use Rules (Meta)

  • Follow applicable laws and Meta/Instagram policies; anything prohibited by Meta is prohibited here.
  • We may refuse/suspend accounts whose content or practices breach our or Meta’s rules. (You must honor end-user opt-out requests.)

5. Meta Limits

  • Service is subject to Meta quotas/anti-abuse and policy changes.
  • We may apply protective throttling to reduce risk for your account.

6. Availability & Support

  • Reasonable efforts; no SLA.
  • Support via email and messaging, 08:00–19:00 (Paris time), 7 days/week.

7. Billing & Payment

  • Monthly, billed in advance starting at activation; bank transfer, due in 7 days.
  • If unpaid, the Service may be suspended on day 14 until paid.

8. Termination

  • Cancel anytime with one (1) calendar month’s notice.
  • Any started billing period is due and non-refundable. We may suspend/terminate for breach or unpaid invoices.

9. Data (summary)

  • We process your Instagram DMs (text/emoji/attachments not analyzed), voice messages, Instagram IDs, and usage stats on your behalf.
  • Hosting: EU (Frankfurt). Retention: DMs 12 months, technical logs up to 90 days. Deletion within 30 days after termination; backups purge on their cycle. Exports on request (no self-service). Sub-processors may include Render (EU) and OpenAI (only data needed for inference).

10. Intellectual Property

  • You own your Customer Data (DMs/content). We own the Service/software.
  • Limited license: we process Customer Data only to operate and secure the Service and to produce non-identifying statistics.

11. Disclaimer & Liability

  • Service provided “as is”; no warranties.
  • We exclude indirect/consequential losses. Liability cap = fees paid in the last three (3) months.
  • We are not liable for Meta/Instagram limitations or actions.

12. Changes

  • We may update features or these Terms; material changes will be notified. Continued use = acceptance.

13. Law & Jurisdiction

  • Governing law and exclusive jurisdiction: Hong Kong courts.
  • “Instagram” and “Meta” are trademarks of Meta Platforms, Inc. We are not affiliated with or sponsored by Meta.

14. Data Processing (GDPR – compact)

  • Customer = controller, APM = processor; we process DMs/IDs only to provide the Service; delete within 30 days after termination; use trusted sub-processors (list available on request); reasonable assistance with user requests; notify without undue delay after security incidents
